Terms and conditions

1. Parties and scope

These General terms and conditions (the "Terms") govern the provision of the Recipetor service by TORPEDO BITS, S.L. , registered office at C/ Nuredduna 22, 1-3, 07006 Palma (Illes Balears, Spain), NIF/VAT ESB72848617, entered in the Commercial Register of the Balearic Islands, Volume 2981, Folio 95, Section 8, Sheet PM-95535, Entry 1 ("Torpedo Bits"), to the customer who subscribes to it (the "Customer").

The service is intended solely for businesses and professionals in the restaurant trade. The Customer declares that it is acting within its business or professional activity and not as a consumer.

The contract is made up of:

  • the order (online purchase of the plan), which states the plan, the billing period and the price;
  • these Terms;
  • the Data Processing Agreement (DPA) attached to the contract and the list of sub-processors in the annex.

In the event of conflict, the order prevails, then the DPA as regards personal data, then these Terms.

2. The service

Recipetor is SaaS software for managing a restaurant's bookings. Depending on the plan it may include:

  • a booking diary, services, areas and tables, with a management panel;
  • a public booking page for the restaurant on recipetor.com, which may appear in the Recipetor restaurant listing;
  • booking notifications by email and, if switched on, by WhatsApp;
  • integrations with other systems, such as the Benfatto platform;
  • support from the panel.

The features of each plan are described on www.recipetor.com and in the order. Torpedo Bits may improve, update or modify features, provided it does not substantially reduce the essential features of the plan subscribed to.

3. Registration and account

  • Registration is subject to approval by Torpedo Bits, which may refuse it giving reasons.
  • The Customer provides true and complete details, including tax details, and keeps them up to date.
  • Log-in credentials and API keys are confidential. The Customer is responsible for use of its account and must notify Torpedo Bits immediately of any unauthorised access.
  • The Customer warrants that it has the right to publish the data, texts and images of its restaurant on the booking page.

4. Prices, invoicing and payment

  • Prices are those stated in the order or in the price list published at the time of purchase, excluding VAT .
  • VAT: Customers established in Spain are charged Spanish VAT. Customers established in another EU member state with a valid VAT number in the VIES system are invoiced without Spanish VAT, under the reverse charge mechanism.
  • Monthly plans : paid in advance each month. Annual plans : paid in advance for the whole year, at the discounted price stated.
  • Payment is made by card through Stripe, which charges renewals automatically. Collection is handled by MA-NO Web Design and Development, S.L., a company in the same group, on behalf of Torpedo Bits.
  • Non-payment : after a notice and 15 days without payment, Torpedo Bits may suspend the service until the balance is settled. After 60 days it may terminate the contract.
  • Price changes : Torpedo Bits may update prices on at least 30 days' notice. The new price applies from the following renewal. If the Customer does not accept it, it may cancel before the renewal.

5. Term, renewal and cancellation

  • The contract runs for the period of the plan subscribed to (one month or one year) and renews automatically for equal periods.
  • The Customer may cancel at any time by writing to info@recipetor.com or from the panel. Cancellation takes effect at the end of the period already paid for, which remains available for use.
  • Free trial : on request, Torpedo Bits provides a 21-day free trial . The Customer asks for it through the form on the website and Torpedo Bits sends it a username and a password. No card or payment details are required , and nothing is charged during the trial. The trial does not renew on its own: at the end of it, the service continues only if the Customer asks to take out a plan, and the contractual relationship begins at that point.
  • No refunds are given for periods already started, unless the order states otherwise.
  • Either party may terminate the contract with immediate effect in the event of a serious breach by the other that is not remedied within 15 days of written notice.

6. Customer obligations

The Customer undertakes to:

  • use the service in compliance with the law and with the terms of the connected platforms (WhatsApp or others);
  • keep the restaurant's information up to date (opening times, services, closures, capacity), on which the availability shown to its guests depends;
  • check and manage the bookings it receives and look after its own guests;
  • inform its guests about the processing of their data, as the data controller (see clause 9 and the DPA);
  • not send marketing communications to its guests without their consent;
  • not attempt to circumvent security measures or use the service for unlawful activities.

7. Public booking page

  • The data the Customer publishes (name, address, phone, contact email, opening times, images) is visible to anyone. The Customer decides which contact details to publish.
  • Bookings received through the page are the responsibility of the restaurant, which may confirm, amend or refuse them according to its own rules.
  • Torpedo Bits may remove from the public listing any pages that are test pages, inactive or contain unlawful content.

8. Third-party services and platforms

Some features depend on third-party platforms (WhatsApp/Meta, the Benfatto platform, Stripe and others). Torpedo Bits does not control those platforms and is not liable for outages, changes to their APIs or terms, or restrictions or blocks decided by them. In such cases Torpedo Bits undertakes to inform the Customer and to look for a reasonable alternative.

9. Personal data protection

  • For the Customer's own data (contacts, invoicing, use of the service) Torpedo Bits is the data controller , as described in the Privacy policy .
  • For the data of the restaurant's guests (bookings, notes, allergies, notifications) the controller is the Customer and Torpedo Bits acts as processor under the Data Processing Agreement, which forms part of the contract and is deemed accepted together with these Terms.

10. Availability and support

  • Torpedo Bits uses reasonable care to keep the service available, with a target of 99% on a monthly basis, excluding scheduled maintenance (announced in advance where possible) and outages of third-party platforms. The target does not give rise to penalties or refunds.
  • Support is available from the panel and by email, Monday to Friday, 9:00 to 18:00 (Central European Time), excluding public holidays.

11. Intellectual property

The Recipetor software and trade mark belong to Torpedo Bits or to its licensors. The Customer receives a non-exclusive, non-transferable right of use for the duration of the contract. The Customer's content and data remain its own.

12. Confidentiality

The parties shall keep confidential any non-public information received from the other party during the contract and for 2 years after it ends, save where the law requires otherwise.

13. Limitation of liability

To the extent permitted by law, Torpedo Bits' total liability for any damage arising from the contract is limited to the amount paid by the Customer in the 12 months preceding the event. Torpedo Bits is not liable for indirect damage, loss of profit, loss of customers or loss of bookings. Cases of wilful misconduct or gross negligence, and the obligations under the DPA, are unaffected.

14. End of the contract

When the contract ends, the Customer may export or request its data within 30 days. After that period, Torpedo Bits deletes the personal data processed on the Customer's behalf as provided in the DPA, save for legal retention obligations. The public booking page is deactivated.

15. Changes to these Terms

Torpedo Bits may amend these Terms on at least 30 days' notice by email or in the panel. If the Customer does not accept the changes, it may cancel before they take effect.

16. Governing law and jurisdiction

The contract is governed by Spanish law . Any dispute shall be subject to the exclusive jurisdiction of the courts of Palma de Mallorca (Spain) .

Annex – List of sub-processors

These are the providers to which TORPEDO BITS, S.L. entrusts part of the processing of restaurant guests' data, under the Data Processing Agreement attached to the contract. Whether each one is involved depends on the features switched on by the Customer.

Transfers to the United States take place on the basis of the EU-U.S. Data Privacy Framework or the European Commission's Standard Contractual Clauses. Changes to this list are notified as provided in the Data Processing Agreement.
